Jason Karp is a seasoned legal and business executive with more than 30 years of experience in the telecom, technology, AI, media, XaaS, and public safety industries, overseeing the legal and administrative (including Human Capital) functions of large business organizations, start-ups, government entities, and growth companies. Jason provides legal counsel, strategic advice and operational support to help expedite high-impact commercial transactions, collaborations, strategic acquisitions and various company-wide initiatives with particular depth in how organizations build, license, deploy, and govern AI.

Jason works with businesses and public entities of all sizes, regularly advising clients on:

• Complex commercial and corporate transactions
• Business operations and market strategy
• Human capital programs and operations
• Corporate governance
• AI governance, policies, and compliance
• AI contract terms and tool usage — client and vendor side — including IP and data ownership
• Compliance and ethics program development and implementation
• Regulatory and policy advocacy and strategy

Jason also writes and speaks regularly on AI, including CLE programs on the impact of AI on SaaS and on AI and IP and data ownership, and articles on AI governance and the risks of over-reliance on AI tools.

In addition to his role with Outside GC, Jason is a co-founder and Board Member of the Public Safety Network (PSN), a provider of business and operational expertise to established and start-up companies entering the public safety tech market.

Prior to his full time work with Outside GC, Jason served as Chief Legal Officer and Chief Human Capital Officer of Affinaquest, Inc., which offers a SaaS platform designed to improve donations, fan engagement and revenue attainment for universities. He was also Chief Commercial Officer, Chief Counsel and Corporate Secretary of Qumu Corporation, a publicly traded enterprise technology company prior to its sale. In that role, he led all legal and HR functions, including commercial deal and strategic partnership negotiations, supply chain contracts, regulatory compliance, data privacy issues, board governance, and HR-related matters.

Jason’s previous general counsel roles include serving as Interim CEO and General Counsel of Allerio, a start-up offering a mobile connectivity solution for first responders, and Chief Counsel of the First Responder Network Authority (FirstNet), the federal agency responsible for the nation’s broadband communication network dedicated to emergency responders and the public safety community, created through a first-of-its-kind public-private partnership with AT&T valued at more than $46.5B.

Earlier in his career, Jason held several executive roles with Accenture, including Director of Commercial Transactions for the Communications, Media and Technology Operating Group and Director of Legal Services for Global Ethics. Before Accenture, he was Special Counsel with Kelley Drye & Warren, an AmLaw 100 law firm, where he developed an outsourced general counsel practice focusing on technology and telecommunications commercial transactions, corporate governance, and telecommunications regulatory matters. Jason also served as the first General Counsel, Assistant Secretary, and Vice President of Human Resources for the digital marketing company E-centives, Inc. (now part of Catalina Marketing Corporation), and he created and led the legal department at Net2000 Communications, Inc.

Jason received a B.S.E. with honors in Electrical Engineering from Duke University and a J.D. from New York University School of Law. Jason is a member of the DC, VA, MD, and NY Bars.

Jason is an avid musician/keyboard player and continues to write and perform music whenever he can. He is also a lover of all things fitness, and is a certified health, life and longevity coach. Jason has two adult children and two bernedoodles, and currently resides just outside the big apple, a/k/a New York City – the greatest city in the world.
