Todd Woods brings extensive leadership experience in Board, C-Suite, and senior legal roles across public, private, and nonprofit organizations. With a diverse background spanning manufacturing, technology, retail, entertainment, media, intellectual property, and start-ups, Todd delivers clear, practical counsel tailored to each client’s specific needs.

Todd regularly advises clients on a range of complex issues, including:

• Corporate governance
• Regulatory compliance and training
• Dispute resolution, employment investigations, litigation strategy, and cost management
• Complex business transactions (growth, franchise, international joint ventures, and M&A)
• Crisis prevention and management (labor relations, reputational issues, and cyber security threats)
• Legal department development (in-house team standup, process enhancement, and revenue generation programs)

Prior to joining Outside GC, Todd served in multiple leadership roles with Educational Media Foundation (media and entertainment; nonprofit), including Board member, Chief Executive Officer, Chief Legal Officer, Secretary, Chief Compliance Officer, and Head of Government Affairs, where he oversaw six public-facing entities producing broadcast, streaming, video, book publishing, live concerts, and events for a weekly audience of over 35 million.

Previously, Todd was General Counsel and Secretary for the Nissan Group of the Americas (TSE 7201:JP, manufacturing), where he advised global executives and led cross-border legal teams handling cyber intrusion responses, transactions, litigation, labor and employment defense, and compliance investigations across the U.S., Europe, and Asia. He also managed all of Nissan’s North American legal operations.

Todd also served as Acting General Counsel, Deputy General Counsel, and Assistant Secretary for Lowe’s Companies, Inc. (NYSE: LOW; global home improvement retailer), where he was a Board-elected Section 16 officer and global executive responsible for projects in the United States, Australia, India, China, Paris, London, and Mexico.

Todd earned his J.D. from Mississippi College School of Law, and both an MBA and B.B.A. from the University of Mississippi.

Based in Nashville, Todd is a Mississippi Delta native and a proud former Ole Miss football player. A strong believer in family, he enjoys every opportunity he gets to spend his time with his wife, adult children, and new grandson, and also enjoys recreational shooting sports.
