Janice Gunst is a seasoned corporate attorney with more than twenty-five years of experience advising corporate leadership and boards on complex legal and business matters. She works closely with executive leadership teams to assess legal and operational risk, align legal strategy with business objectives, and provide practical guidance on high-stakes corporate and commercial matters. Janice is particularly valued for her ability to translate complex legal issues into clear, actionable guidance that supports strategic decision-making.

Janice advises clients across a wide range of industries on matters including:

Prior to joining OGC, Janice spent 15 years in-house serving as Vice President and General Counsel for both publicly traded and privately held companies. In these roles, she oversaw global legal matters, commercial contracting, SEC reporting and disclosures, guiding mergers and acquisitions, corporate governance, and strategic advisory support for executive leadership and boards.

Earlier in her career, Janice was a partner in the business group of a leading law firm, where she advised clients ranging from emerging growth companies to large public corporations. Her practice focused extensively on mergers and acquisitions, private equity transactions, and complex financing structures, leading deals from initial structuring through negotiation and closing.

Janice’s combined law firm and in-house leadership experience gives her a practical understanding of both transaction structure and execution, as well as the operational realities that organizations face after deals close.

Janice earned her law degree from Indiana University School of Law and her undergraduate degree from Butler University.

When she is not practicing law, Janice enjoys reading, yoga, travel, cooking and spending time with her family. She has been a supporter of dance throughout her career, having served as a member of the Board of Trustees of Dance Kaleidoscope in Indianapolis, Indiana and a member of the Gala Advisory Board of St. Louis Ballet in St. Louis, Missouri.
