Nicole’s practice focuses on private equity mergers and acquisitions and venture capital fundraising. Over the course of her career, she has advised transactions from nearly every perspective—as outside counsel to private equity and venture capital firms, as in-house to a private equity-backed portfolio company, as co-founder and General Counsel of a private equity fund, and now as counsel to founders navigating growth, fundraising and exit transactions.
This breadth of experience gives Nicole a practical understanding of the priorities, pressures, and objectives of each stakeholder involved in a deal. Today, her practice primarily involves representing founders in sales to private equity firms, guiding management teams with a clear understanding of how investors evaluate risk, structure deals, and approach negotiations.
Nicole has worked with companies across industries, including tech, telecommunications, health care and human resources, and has closed transactions with enterprise values ranging from approximately $400,000 to $65 million.
Before joining Outside GC, Nicole served as Partner, General Counsel, and Chief Compliance Officer for Boudica Capital Partners, LLC, a women-founded/owned private equity firm that she co-founded. In addition to handling all legal matters for the firm, Nicole worked closely with her partners to develop and execute the firm’s fundraising and investment strategies.
Prior to Boudica, Nicole served as General Counsel and Chief Compliance Officer of MDeverywhere, Inc., a private equity-backed healthcare revenue cycle management company, where she advised senior management on commercial transactions, employment and compensation matters, corporate structuring, compliance, and other operational matters. She also played an active role in growth strategy, acquisition evaluations and general company management. As Chief Compliance Officer, she oversaw enterprise risk management, including implementing initiatives to modernize all HIPAA policies and procedures, collaborating with HR to update training materials, and serving as the company resource for resolution of all internal and external compliance inquiries.
Nicole began her legal career as a corporate attorney at Ropes & Gray LLP, where she represented private equity and venture capital firms in mergers and acquisitions, financings, and portfolio company matters, gaining substantial experience in the drafting and negotiation of a transaction documents, including stock and asset purchase agreements, merger agreements, venture financing documents, stockholder and other equity agreements, employment-related agreements and corporate governance documents.
Nicole is admitted to practice in Massachusetts and has been recognized multiple times as a Massachusetts SuperLawyer Rising Star. She earned her J.D., magna cum laude and Order of the Coif, from Boston College Law School and her A.B., cum laude, in Classics-Latin from Harvard College. She is also a graduate of Boston Latin School.
Born and raised in Boston, Nicole spent more than 20 years as a Red Sox season ticket holder before trading in Fenway Park for Maine summers during the 2020 pandemic. When she is not working, you enjoys time on Sebago Lake (on her motorized picnic table boat), golfing, and chasing after (and likely apologizing for) her rambunctious labradors, Augustus and Mr. Moose.
