Andy has more than 25 years of experience advising technology companies on the legal and commercial issues that arise across the business lifecycle. He has spent the last 18 of those years as outside general counsel at Outside GC, giving him first-hand insight into the operational realities growing tech companies face. His counsel is practical, business-oriented, and geared toward long-term growth.
Andy’s clients are generally private and venture-backed technology companies developing software, hardware and complex technology services. He serves as general counsel to several of them, usually acting as the company’s only in-house lawyer. Working closely with executive teams, he handles the commercial agreements that drive day-to-day operations, including:
- Software licensing
- SaaS and technology services
- Channel relationships
- Reseller, OEM and similar arrangements
- Product, services and vendor agreements.
He also advises clients on financings, international transactions and operations, real estate transactions, employment matters, intellectual property protection, corporate governance, and other general business areas.
Since joining Outside GC in 2008, Andy has served as General Counsel or primary commercial counsel to a diverse range of technology companies, including his former employers, Crossbeam and ModusLink, as well as Fidelis, Neohapsis, WiTricity, Localytics, and Altiostar.
His current clients include Scientific Systems Company (autonomous solutions for military vehicles); Piaggio Fast Forward (robotics solutions); Crayon (competitive intelligence); Termgrid (debt financing enablement); ComplianceHR (employer compliance); and service providers such as 923 (AI solutions developer) and Ancera (software solutions for the poultry industry).
Prior to joining the firm, Andy served as General Counsel of Crossbeam Systems, a provider of network security infrastructure, where he advised the company’s leadership on commercial transactions, corporate governance, financing, intellectual property, and operational legal matters. Earlier, he was Associate General Counsel at Moduslink Corporation, a global provider of technology supply chain and logistics services, and Director of Legal Affairs for NetGenesis, a public company providing software and related services for online business analysis.
Andy began his career as a corporate associate at Foley Hoag, representing emerging growth companies, later stage and public companies, and venture capital firms in financings, public offerings, M&A, corporate governance, and licensing and other strategic transactions.
Andy earned his B.A. from Brown University and his J.D. from Harvard Law School.
Outside of work, Andy enjoys playing tennis, attempting to make something that sounds like music on the guitar, and volunteering in his community. Andy is a director at Jewish Big Brothers Big Sisters of Greater Boston and Plugged In Teen Band Program in Needham. He lives in Weston, MA.
