Ariella Fuchs is a seasoned corporate, securities, and M&A attorney with more than 15 years of experience in complex transactional, regulatory, and governance matters. She advises public and private companies, investment funds, founders, and boards — and has sat on their side of the table, serving as corporate secretary, strategic legal advisor, and General Counsel on both a full-time and fractional basis. That operating experience shapes how she practices: she has made these calls as a principal, not only advised on them.

Her practice focuses on capital markets, mergers and acquisitions, corporate governance, and investment structuring. Ariella regularly advises clients on:

• Public company reporting and compliance under the Securities Exchange Act of 1934
• Private placements, PIPE transactions, and Reg D offerings
• Fund and special purpose vehicle (SPV) formation
• Board and committee governance
• Executive compensation
• Strategic growth initiatives

She works with companies ranging from early-stage ventures to Fortune 500 public companies across a broad range of industries, including technology, energy, real estate, cryptocurrency, and investment management.

Prior to joining Outside GC, Ariella founded and served as President, General Counsel, and Secretary of Ruckus Energy, where she led the company’s legal strategy from inception through significant private equity and retail investment. She structured and closed multiple Reg D financings, negotiated strategic M&A transactions, and managed complex investor, partnership, and commercial arrangements, including a private equity investment of up to $100 million that she took from term sheet through closing.

Earlier in her career, Ariella served as General Counsel and Corporate Secretary of Lilis Energy, where she helped scale the company from roughly $3 million in market capitalization to more than $500 million in under three years. She led all legal aspects of that growth strategy, including public and private debt and equity financings, SEC reporting and disclosure, corporate governance, and M&A, while advising the board and executive leadership on Sarbanes-Oxley compliance, exchange governance requirements, and capital markets strategy. She also led the company’s successful re-listing on NASDAQ and, later, the NYSE American.

Ariella began her legal career at Dewey & LeBoeuf, White & Case, and Baker Botts, practicing corporate finance, securities, and mergers and acquisitions.

She earned her J.D., cum laude, from New York Law School, where she was a member of Law Review and a John Marshall Harlan Scholar, and her B.A. in Political Science from Tufts University. She is admitted to practice in New York.

Outside of her legal practice, Ariella is an entrepreneur and a mother of two who enjoys travel, time with family and friends, and the occasional competitive mahjong game. She is based in New York.
